1.1. Description of the service

RelayPlan is a multi-tenant SaaS application for managing projects, warehouse, time, employees, vehicles and related records (the "Service"). The mobile applications (iOS/Android) are part of the ecosystem.

1.2. Eligibility and registration

• The user confirms that they have legal capacity and authority to enter into a contract on behalf of a legal entity.
• On registration the user provides accurate information and keeps access credentials confidential.

1.3. Accounts, subscription plans and prices

• The Provider offers several plans (including a free plan, where usage is limited by credits).
• Prices may change. We give at least 30 days’ notice of changes (by email or in the application). If you do not agree to the new prices, you may cancel your subscription before the effective date.
• Prices exclude taxes unless expressly stated. Taxes may be charged additionally under applicable law.

1.4. Payments and billing

• Payments are processed through Stripe. By paying you agree to Stripe’s terms and privacy policy.
• Subscriptions are prepaid and renew automatically for the selected period (monthly/yearly) unless cancelled before the next billing date.
• Non-payment or a failed charge may result in temporary restriction or termination of access.

1.5. Cancellation, refunds and plan changes

• You may cancel at any time in the admin console; cancellation takes effect at the end of the billing period.
• Unless expressly stated otherwise (e.g. statutory consumer rights), refunds are not provided for partially used periods, credits or upgrades within the current period.
• Plan upgrades are charged pro rata; downgrades take effect from the next billing period.

1.6. Intellectual property rights

• All RelayPlan source code, design, documentation and trademarks are owned by the Provider or its licensors.
• The Customer retains rights in its own data and the content it uploads to the Service.

1.7. Licence and acceptable use

• The Provider grants a non-exclusive, non-transferable and revocable right to use the Service for the Customer’s lawful business purposes.
• Prohibited: unlawful use, intrusion attempts, circumventing security measures, mass data scraping, sending unsolicited mail, infringement of IP rights, processing special categories of personal data without a legal basis, use in high-risk environments without prior written consent.

1.8. Customer content and responsibilities

• The Customer is responsible for the lawfulness, accuracy and legal bases of the processing of personal data it enters into the Service.
• The Customer warrants that it holds all rights and licences for published content (e.g. logos, documents, files).

1.9. Privacy and data protection

• The processing of personal data is described in the Privacy Policy and the Data Processing Addendum (DPA), both of which form an integral part of these Terms.

1.10. Availability, maintenance and changes

• The Provider strives for high availability. Maintenance may be carried out occasionally (usually outside business hours), which may temporarily affect availability.
• The Provider may introduce changes to functionality, including limited beta features. Material changes are communicated through the application or by email.

1.11. Support

• Support is available at support@relayplan.com or within the application. Response times depend on the plan and are described in the SLA section.

1.12. Warranties and limitation of liability

• The Service is provided "as-is". The Provider does not warrant that it will be error-free or uninterrupted.
• The Provider is not liable for indirect or consequential damages or lost profit. The Provider’s aggregate liability is limited to the amount paid by the Customer in the last 12 months.

1.13. Force majeure

• The Provider is not liable for failure to perform due to circumstances beyond its reasonable control (force majeure).

1.14. Termination

• The Provider may terminate or suspend access for a Customer that materially breaches the Terms or the AUP, after prior notice (except in urgent cases).

1.15. Assignment and subcontractors

• The Provider may use subcontractors (e.g. hosting, email, payments) but remains responsible for their work.

1.16. Governing law, jurisdiction and dispute resolution

• The Terms are governed by the law of the Republic of Slovenia and EU law, without conflict-of-law rules.
• Disputes are first resolved amicably. If that is not possible, the courts of Ljubljana have jurisdiction, unless mandatory legislation provides otherwise.

1.17. Consumers

• If the Customer acts as a consumer under EU law, additional statutory rights may apply (e.g. the right of withdrawal for digital content, where performance has not yet begun). Where the service is supplied immediately, the Customer expressly consents at purchase to performance beginning and acknowledges that the right of withdrawal may be lost.

1.18. Changes to the Terms

• The Provider may update the Terms from time to time. Material changes are notified in advance. Continued use after the effective date constitutes acceptance.
